This Agreement sets out the terms and conditions upon which you may use the Little Places Market and any application or functionality that Little Places makes available through the Little Places website.
By using the Little Places Service, you agree to and accept these Terms of Service.
If you are using the Little Places Market on behalf of a company, organisation, or other entity, then you agree to the Agreement on behalf of the company, organisation, or other entity, and you represent that you have the authority to bind the company, organisation, or other entity.
The Little Places Market is provided by Little Places London Limited, a company incorporated and registered in England and Wales under company number 14347952, whose registered office address is 420a Roman Road, London, E3 5LU ("Little Places").
In these Terms of Service, save where the context requires otherwise, the following words and expressions have the following meaning:
"Additional Services" means any ancillary services (if any) provided by Little Places to the Seller in relation to the Little Places Service, as agreed by the parties in writing from time to time;
“Additional Services Fee" means the fee relating to the provision of any Additional Services including additional Delivery related charges, as agreed in writing by the parties from time to time;
"Agreement" means the agreement between the Seller and Little Places, comprising the Terms of Service, any commercial terms agreed between the parties in writing, and the On-Boarding Documents for the provision of the Little Places Service;
"Authorised User" means a person who is authorised by the Seller to access and use the Little Places Market on behalf of the Seller;
"Customer" means a user of the Little Places Market who purchases Products through the Little Places Service;
"Commencement Date" means the date from which the Seller will have access to the Little Places Service, as agreed by the parties;
"Confidential Information" means information which is identified as confidential or proprietary by either party, or by the nature of which is clearly confidential or proprietary;
"Data Protection Laws" means the EU General Data Protection Regulation 2016/679 ("GDPR"), any applicable national implementing legislation including the UK Data Protection Act 2018, and the UK GDPR (as defined in the UK Data Protection Act 2018) (the "UK GDPR"); and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426) as amended; in each case as amended, replaced or superseded from time to time, and all other applicable data protection and privacy legislation (including the privacy of electronic communications) in force from time to time in the UK;
"Delivery" means the transfer of physical possession of the Product(s) by the Seller to a Buyer; and "Deliver" shall be construed accordingly;
"Delivery Fees" means any direct delivery fees or ancillary fees (for example but not limited to weight and package surcharges, delivery costs, pick up charges, delivery emission zones charges) relating to the Delivery;
"Little Places Market" means the online marketplace that Little Places makes available as a service to sellers and buyers of provisions and products;
"Fees" means the Service Fees and any Additional Fees;
"On-Boarding Documents" means the documents provided by Little Places to the Seller for completion as part of the on-boarding process;
"Products" means the Seller's drink and food products that the Seller makes available for purchase by Buyers through the Little Places App;
“Purchase Price” means the payment received through the Little Places Service from a Buyer for the purchase of Products through the Little Places App;
"Seller" or "you" means the person selling goods through Little Places Market;
"Seller Data" means the content and data that the Seller or any Authorised Users make available to Little Places (including the Seller Information) and that is hosted by Little Places in connection with the provision of the Little Places Service;
"Seller Information" means the content and information that the Seller provides to Little Places;
"Service Fee" means the fee payable by the Seller to Little Places in consideration for the provision of the Little Places Service, as agreed by the parties in writing from time to time;
"Terms of Service" means these terms and conditions of service, as amended from time to time;
"Territory" means the territory in which the Seller may offer its goods for sale through the Little Places Service, as agreed by the parties in writing from time to time;
"User Account" means an account set up by the Seller with an ID and password that an Authorised User uses to access the Little Places Market;
"VAT" means value added tax (and any equivalent tax payable in any jurisdiction); and
"Virus" means any thing or device (including any software, code, file or program) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware, or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any program or data, including the reliability of any program or data (whether by re-arranging, altering or erasing the program or data in whole or part or otherwise); or adversely affect the user experience, including works, Trojan horses, viruses and other similar things or devices.
Welcome to Little Places Market (the "Marketplace"), a marketplace owned and operated by Little Places ("Little Places", "we", "us", or "our"). These Terms of Service ("Terms") apply to all users of the Marketplace, including sellers who use the Marketplace to sell physical products, including food and drinks ("Products"). By accessing or using the Marketplace, you agree to be bound by these Terms.
You must be 18 years of age or older to use Little Places Market. By using Little Places Market, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms.
To sell on Little Places Market, you must create an account and provide accurate and complete information, including your name, email address, and payment information. You are responsible for maintaining the security of your account and any passwords associated with your account. You agree to notify us immediately if you become aware of any unauthorized use of your account.
You are solely responsible for the products you sell on Little Places Market, including the quality and safety of those products. You must comply with all applicable laws and regulations, including any food safety regulations, in connection with the sale of your products. You agree to accurately describe your products and provide any necessary warnings or disclaimers.
You will receive payment for your sales, less any fees charged by Little Places, according to the payment schedule provided by Little Places. You agree to pay any applicable fees, which may include a commission on your sales and any payment processing fees.
You retain all rights in your intellectual property, including any trademarks, copyrights, or patents associated with your products. By using Little Places Market, you grant Little Places a non-exclusive, worldwide, royalty-free license to use, copy, display, and distribute your content for the purpose of promoting Little Places Market.
The Seller is responsible for fulfilling an order through their offered methods. The Seller must ensure that the ordered Products are delivered or made available for collection as per the agreed terms with the Buyer. Little Places is not responsible for the actual delivery or collection of the goods and does not assume any liability in this regard.
The Seller must have a clearly stated returns policy on their profile, which outlines the process for returns and refunds. All return and refund disputes must be handled by the Seller directly with the Buyer. Little Places must be notified of any refunds issued by the Seller, as it may need to adjust its seller fee accordingly.
The Seller must clearly stipulate their cancellation terms in their returns policy. If a cancellation request is received by the Seller, they are responsible for communicating with the Buyer directly to resolve the cancellation and any associated issues.
You agree to indemnify, defend, and hold harmless Little Places and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of Little Places Market, your products, or any breach of these Terms.
Little Places is not liable for any damages, including but not limited to direct, indirect, incidental, special, or consequential damages, arising out of or in connection with your use of Little Places Market or your products.
These Terms and any disputes arising out of or in connection with these Terms will be governed by and construed in accordance with the laws in the United Kingdom, without giving effect to any principles of conflicts of law. Any disputes arising out of or in connection with these Terms will be resolved through binding arbitration.
Little Places may update these Terms from time to time. We will notify you of any material changes to these Terms by email or by posting a notice on Little Places Market. Your continued use of Little Places Market after any such changes constitutes your acceptance of the new Terms.
Little Places may terminate your account and these Terms at any time, with or without cause, by providing notice to you. Upon termination, you must immediately stop using Little Places Market.
These Terms constitute the entire agreement between you and Little Places regarding the use of Little Places Market. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Little Places' failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
