This Agreement sets out the terms and conditions upon which you may use the Little Places Market and any application or functionality that Little Places makes available through the Little Places website.
By using the Little Places Service, you agree to and accept these Terms of Service.
If you are using the Little Places Market on behalf of a company, organisation, or other entity, then you agree to the Agreement on behalf of the company, organisation, or other entity, and you represent that you have the authority to bind the company, organisation, or other entity.
The Little Places Market is provided by Little Places London Limited, a company incorporated and registered in England and Wales under company number 14347952, whose registered office address is 420a Roman Road, London, E3 5LU ("Little Places").
In these Terms of Service, save where the context requires otherwise, the following words and expressions have the following meaning:
"Additional Services" means any ancillary services (if any) provided by Little Places to the Seller in relation to the Little Places Service, as agreed by the parties in writing from time to time;
“Additional Services Fee" means the fee relating to the provision of any Additional Services including additional Delivery related charges, as agreed in writing by the parties from time to time;
"Agreement" means the agreement between the Seller and Little Places, comprising the Terms of Service, any commercial terms agreed between the parties in writing, and the On-Boarding Documents for the provision of the Little Places Service;
"Authorised User" means a person who is authorised by the Seller to access and use the Little Places Market on behalf of the Seller;
"Customer" means a user of the Little Places Market who purchases Products through the Little Places Service;
"Commencement Date" means the date from which the Seller will have access to the Little Places Service, as agreed by the parties;
"Confidential Information" means information which is identified as confidential or proprietary by either party, or by the nature of which is clearly confidential or proprietary;
"Content Standards" has the meaning given in clause 8.5;
"Contribution" has the meaning given in clause 8.4;
"Data Processing Agreement" or "DPA" has the meaning given to it in clause 10.1;
"Data Protection Laws" means the EU General Data Protection Regulation 2016/679 ("GDPR"), any applicable national implementing legislation including the UK Data Protection Act 2018, and the UK GDPR (as defined in the UK Data Protection Act 2018) (the "UK GDPR"); and the Privacy and Electronic Communications Regulations 2003 (SI 2003/2426) as amended; in each case as amended, replaced or superseded from time to time, and all other applicable data protection and privacy legislation (including the privacy of electronic communications) in force from time to time in the UK;
"Delivery" means the transfer of physical possession of the Product(s) by the Seller to a Buyer; and "Deliver" shall be construed accordingly;
"Delivery Fees" means any direct delivery fees or ancillary fees (for example but not limited to weight and package surcharges, delivery costs, pick up charges, delivery emission zones charges) relating to the Delivery;
"Little Places Market" means the online marketplace that Little Places makes available as a service to sellers and buyers of of provisions, , through the Little Places App and including any SDKs used by Little Places to provide the Little Places Service;
"Fees" means the Service Fees and any Additional Fees;
"Interactive Service" has the meaning given in clause 8.1;
"Minimum Seller Requirements" means the standards that the Seller is required to meet throughout the Term, as set out in Schedule 3;
"On-Boarding Documents" means the documents provided by Little Places to the Seller for completion as part of the on-boarding process;
"Products" means the Seller's drink and food products that the Seller makes available for purchase by Buyers through the Little Places App;
“Purchase Price” means the payment received through the Little Places Service from a Buyer for the purchase of Products through the Little Places App;
"Seller" or "you" means the person selling goods through the Little Places App;
"Seller Data" means the content and data that the Seller or any Authorised Users make available to Little Places (including the Seller Information) and that is hosted by Little Places in connection with the provision of the Little Places Service;
"Seller Information" means the content and information that the Seller provides to Little Places in response to the questions set out in Schedule 2;
"Service Fee" means the fee payable by the Seller to Little Places in consideration for the provision of the Little Places Service, as agreed by the parties in writing from time to time;
"Terms of Service" means these terms and conditions of service, as amended from time to time;
"Territory" means the territory in which the Seller may offer its goods for sale through the Little Places Service, as agreed by the parties in writing from time to time;
"User Account" means an account set up by the Seller with an ID and password that an Authorised User uses to access the Little Places Market;
"VAT" means value added tax (and any equivalent tax payable in any jurisdiction); and
"Virus" means any thing or device (including any software, code, file or program) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware, or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any program or data, including the reliability of any program or data (whether by re-arranging, altering or erasing the program or data in whole or part or otherwise); or adversely affect the user experience, including works, Trojan horses, viruses and other similar things or devices.
Welcome to Little Places Market (the "Marketplace"), a marketplace owned and operated by Little Places ("Little Places", "we", "us", or "our"). These Terms of Service ("Terms") apply to all users of the Marketplace, including sellers who use the Marketplace to sell physical products, including food and drinks ("Products"). By accessing or using the Marketplace, you agree to be bound by these Terms.
Terms of Service for Buyers on Little Places Market
These terms of service (“Agreement”) govern your use of the Little Places Market website (“Site”) and its services as a buyer. By using the Site or purchasing goods through it, you agree to be bound by this Agreement.
This Agreement is between you (“Buyer”) and Little Places, a company incorporated under the laws of [insert jurisdiction], with its registered office at [insert address] (“Little Places”).
Little Places operates an online marketplace for the purchase of goods, called Little Places Market. The Site allows Buyers to purchase goods from various sellers who offer their products for sale on the Site.
By placing an order through the Site, you agree to purchase the goods selected by you and pay the purchase price and any applicable taxes and shipping fees. Little Places is not responsible for any damages that may occur during the shipping of the goods, and it is the Seller's responsibility to ensure that the goods are delivered to the Buyer in good condition.
Payments for goods purchased through the Site must be made using the payment methods available on the Site. By placing an order, you authorise Little Places to charge your selected payment method for the total amount of the purchase.
Little Places is not responsible for the delivery of goods purchased through the Site. Delivery times may vary depending on the Seller's location and the shipping method chosen by the Buyer. The Seller is responsible for providing the Buyer with a tracking number and for ensuring that the goods are delivered in good condition.
Each seller on the Little Places Market has their own return and refund policies, which can be found on their product listings. If a buyer wishes to request a return and refund for goods purchased through the Site, they should first review the seller's policies and then contact the seller directly to initiate the return process. The seller is responsible for accepting or rejecting the return request and providing the buyer with a refund if the return is accepted.
Little Places owns all content on the Site, except for images, logos, and trademarks belonging to the sellers on the platform. Any use, reproduction, modification, or distribution of the Site's content requires the express written permission of Little Places.
Little Places does not warrant or represent that the Site or its services will be error-free or uninterrupted, and it does not guarantee the accuracy, reliability, or completeness of any content on the Site. Little Places is not responsible for any damages arising from the use of the Site or its
